This Agreement of User ("Agreement") is made between Justbull (hereinafter referred to as "Provider") and the user (hereinafter referred to as "User") for the provision of digital IT solutions. By accessing and using the services provided by Provider, User agrees to be bound by the terms and conditions outlined in this Agreement.
Provider agrees to offer digital IT solutions, including but not limited to software development, website design, mobile application development, and related services, as agreed upon between the parties.
2.1 User agrees to provide accurate and complete information to Provider, including any requirements, specifications, and deliverables necessary for the provision of services.
2.2 User will comply with all applicable laws and regulations while using the services.
2.3 User acknowledges that it is solely responsible for the use and security of any usernames, passwords, or other access credentials provided by Provider.
3.1 User retains ownership of any pre-existing intellectual property rights it brings to the project.
3.2 Any intellectual property rights developed or created by Provider during the provision of services shall belong to Provider, unless otherwise agreed upon in writing.
3.3 Provider grants User a non-exclusive, non-transferable license to use any deliverables solely for User's internal business purposes.
Both parties agree to maintain the confidentiality of any confidential information shared during the course of this Agreement. Confidential information includes, but is not limited to, trade secrets, business plans, technical specifications, and proprietary information.
User agrees to pay Provider the agreed-upon fees for the services provided. Payment terms, including the schedule and method of payment, shall be as set forth in the separate agreement or invoice provided by Provider.
Provider shall not be held liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the provision of services under this Agreement.
Either party may terminate this Agreement upon written notice to the other party if there is a material breach of the terms and conditions outlined herein. Upon termination, User shall pay any outstanding fees owed to Provider for services rendered prior to termination.
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Provider operates. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
This Agreement constitutes the entire understanding between Provider and User regarding the subject matter herein and supersedes all prior discussions, negotiations, and agreements, whether written or oral.
